Terms of Service

These terms govern your use of Vertex (the dashboard, the proxy, the SDKs, and any related services). By creating a workspace you agree to them. If your employer is the actual customer, you represent that you have the authority to bind them.

1. The service

Vertex provides a policy-bound proxy for agent API access, a credential vault, and tooling (Pilot, SDKs, webhooks, audit) for managing it. Specific limits are defined by your plan tier; the current matrix lives on the pricing page.

2. Your responsibilities

  • You are responsible for the agents and code that hold Vertex keychains. Vertex enforces the policies you configure; it does not supervise what your agent does otherwise.
  • You are responsible for the provider credentials you vault and for keeping their scopes minimal. Vertex's built-in classifier flags wrong-kind keys but it is advisory.
  • You must comply with each upstream provider's terms of service. Stripe, GitHub, Cloudflare, and the LLM vendors have their own rules — Vertex does not override them.
  • You must not use Vertex to facilitate unlawful activity, to evade rate limits or usage policies of upstream providers, to attack other systems, or to bypass credential controls of third parties.

3. Pricing and billing

Paid plans (Developer, Business) renew monthly through Polar. You can cancel at any time from the customer portal; access continues until the end of the current period. Enterprise pricing is negotiated separately.

The plan's call quota is hard-enforced at the proxy. Calls past your quota return 429 and write an audited block until the next cycle.

4. Acceptable use

We reserve the right to suspend a workspace whose traffic patterns or behavior materially threatens the service's availability, other customers, or any upstream provider relationship. If we suspend you, we'll tell you why and give you a chance to remediate, unless the activity is plainly malicious.

5. Data ownership and confidentiality

You own the data you put into Vertex — workspace content, audit telemetry, Pilot conversations. Vertex stores and processes it on your behalf and does not sell or share it beyond the subprocessors named in the Privacy Policy.

6. Service availability

Vertex aims for high availability but does not provide an uptime SLA on Free, Developer, or Business tiers. Enterprise customers may negotiate a written SLA in their order form.

7. Disclaimers

The service is provided on an “as is” basis. Vertex disclaims all warranties to the maximum extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, that every audit row will be permanently retained beyond the published retention window, or that Pilot's suggestions will be correct in every case (it's a copilot, not an authority).

8. Limitation of liability

To the maximum extent permitted by law, Vertex's aggregate liability for any claim arising out of or relating to these terms is limited to the greater of (a) the fees paid by you to Vertex in the twelve months preceding the claim, or (b) $100. Vertex is not liable for indirect, incidental, consequential, or punitive damages.

9. Termination

You may delete your workspace at any time from the dashboard. We may terminate accounts that materially breach these terms with notice. On termination we will delete your workspace data within 30 days, unless we are legally required to retain it.

10. Changes

We may update these terms. We'll post the new version with a fresh “Last updated” date and, for material changes, email workspace owners. Continued use after a change means you accept the new terms.
